WE MAY MAKE REVISIONS TO THE LSP TERMS AT ANY TIME AND WE WILL POST REVISED LSP TERMS FROM TIME TO TIME ON THE WEBSITE. YOUR CONTINUED USE OF YOUR ACCOUNT OR THE WEBSITE AFTER SUCH CHANGES HAVE BEEN POSTED WILL SIGNIFY YOUR ASSENT TO AND ACCEPTANCE OF THE REVISED LSP TERMS.
YOUR LSP ACCOUNT.
To access and register on the Website as a Local Service Provider, You must register for a LSP account with us (“LSP Account”). You agree to provide true, accurate, and complete information to us and on all registration and other forms You access on the Site and to update such information to maintain its truthfulness, accuracy, and completeness. You must not provide misleading information about Your location. Upon LSP Account registration, and from time to time thereafter, Your LSP Account may be subject to verification as well as editorial and feedback reviews.
Once You have registered and activated Your LSP Account You may begin accepting bids (each, a “Bid”) or Service Requests (each, a “Service Request”) from Consumers.
BID REVIEW – WHAT HAPPENS NEXT.
Once a Consumer submits a Bid or Service Request, Bidology will search for Local Service Providers to either accept the Bid or respond to the Service Request.
If a Local Service Provider clicks "Accept Bid" and provides the Local Service Provider’s payment schedule, Bidology will provide an alert to the Consumer that the Bid was accepted. If a Local Service Provider clicks “Respond to Request”, Bidology will provide the Local Service Provider’s response to Consumer. Consumer then has the option of accepting, rejecting or providing a counteroffer to the Local Service Provider’s response.
Once the Consumer reviews all accepted Bids or Service Request responses, the Consumer will select the Bid and Local Service Provider that best fits their needs.
Please note that the Consumer’s contact information and identity is strictly confidential until the Consumer has selected You as their Local Service Provider. Please remember, once You click "Accept Bid", of if Your response to a Service Request is won, the Bid or response to Service Request cannot be changed, cancelled, or transferred.
Bidology administers Consumer’s payment and will release the funds outlined in the accepted Bid to the selected Local Service Provider upon project completion, or in milestone payments, as mutually agreed upon between the Consumer and the Local Service Provider as set forth in the accepted Bid. For administering the transaction, Bidology deducts a minor service fee from the total transaction price provided to the Local Service Provider. If You don’t accept a Consumer’s offer, or win a proposal from a Consumer, then Bidology will not collect a service fee from Your business. Bidology only administers a service fee when You, the Local Service Provider, receives funds from the Consumer.
Bidology offers a platform through which You sell services directly to Consumers. When You offer LSP Services through the Website and click “Accept Bid”, You must be prepared to provide those LSP Services at the price listed in the Accepted Bid. In addition, You are required to provide certain identifying and contact information, which must accurately identify Yourself so that Bidology and the Consumer can communicate directly with You.
The Website and the services provided by Bidology are provided for informational purposes only. You alone are responsible for any sale or purchase transaction You engage in with Consumers. We cannot protect You from potential fraud or other misconduct or assure that a Consumer will comply with the Accepted Bid. We do not verify the information that Consumers supply, nor guarantee the Bids submitted by Consumers.
“Confidential Information” means all written or oral information, disclosed by Bidology to You or by You to Bidology related to the operations of either party or a third party that has been identified as confidential or that by the nature of the circumstances surrounding disclosure ought reasonably to be treated as confidential. Without limiting the foregoing, for purposes of these LSP Terms will be deemed Confidential Information of Bidology.
You and Bidology agree as follows with respect to Confidential Information: (i) to use Confidential Information disclosed by the other party only for the purposes described herein; (ii) to not reproduce Confidential Information of the other party, and to hold in confidence and protect such Confidential Information from dissemination to, and use by, any third party; (iii) to not create any derivative work from the Confidential Information of the other party; (iv) to restrict access to the Confidential Information of the other party to its personnel, agents, and/or consultants, who have a need to have access and who have been advised of and have agreed in writing to treat such Confidential Information in accordance with these Terms; and (v) to return or destroy all Confidential Information disclosed by the other party that is in its possession upon termination or expiration of Your LSP Account.
Notwithstanding the foregoing, the provisions of this Section 3 will not apply to Confidential Information that (i) is publicly available or in the public domain at the time disclosed; (ii) is or becomes publicly available or enters the public domain through no fault of the recipient; (iii) is rightfully communicated to the recipient by persons not bound by confidentiality obligations with respect thereto; (iv) is already in the recipient’s possession free of any confidentiality obligations with respect thereto at the time of disclosure; (v) is independently developed by the recipient; or (vi) is approved for release or disclosure by the disclosing party without restriction. Notwithstanding the foregoing, each party may disclose Confidential Information to the limited extent required (x) in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable law, provided that the party making the disclosure pursuant to the order shall first have given written notice to the other party and made a reasonable effort to obtain a protective order; or (y) to establish a party’s rights under these LSP Terms, including to make such court filings as it may be required to do.
By using the Website, You represent, warrant, and covenant that (a) the execution and performance of the LSP Services by You will not conflict with or violate any provision of any law having applicability to You and (b) that these LSP Terms constitute a valid and binding obligation by You and will be enforceable against You in accordance with its terms.
BIDOLOGY DOES NOT MAKE ANY REPRESENTATION OR WARRANTY THAT YOU WILL RECEIVE ACCEPTED BIDS, OBTAIN FUNDS FOR YOUR SERVICES OR RECEIVE ANY INQUIRIES REGARDING YOUR LSP SERVICES.
You agree to indemnify and hold Bidology and its officers, directors, employees, affiliates, agents, licensors, and business partners harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys’ fees and costs of defense) Bidology or any other indemnified party suffers in relation to or arising from: (a) Your provision of the LSP Services; (b) Your or any Authorized End User’s use of the Website or Your LSP Account in breach of the LSP Terms; (c) fraud You commit or Your intentional misconduct or gross negligence; or (d) Your violation of any applicable laws or rights of a third-party.
TERM AND TERMINATION.
Bidology reserves the right to modify, suspend or terminate Your LSP Account and/or Your rights to access and use the Website at any time. Bidology shall not be liable to You or any other third party for any such modification, suspension or termination of Your rights to access and use the Services. You may opt-out of further communications with Us at any time.
Information We Collect
We collect personally identifiable information ("Personal Data") about you that you provide to us while using the Site. Personal Data is information that can identify you as a specific individual, such as your name, address, phone number, credit card number or other payment information, or email address. We will also collect any information that you otherwise provide to us, such as your company name or comments that you submit through our Site. We also collect non-personally identifiable information, including your IP address, domain name, access time and time spent on our Site, referring URL, age views, search preferences, location, and bids through your interactions with our Site.
How We Use Your Personal Data
Bidology may use Personal Data for customer service purposes, such as to provide you with products and services; for administrative, research, and development purposes, such as to build features that will improve our services; to communicate with you about your use of our Site and services and to provide you with information that we think may interest you, such as special offers; and to comply with applicable legal obligations.
How We Share Your Personal Data
Bidology may share your Personal Data as described below:
Vendors: We may disclose your information to our vendors, agents, or others who perform functions on our behalf. For example, we may use vendors to help us handle email, analyze the data we collect, and market our services.
Unaffiliated Third Parties. We may disclose your Personal Data to other unaffiliated third parties, including for their own marketing purposes. Please see our Special Information for California Consumers section below with regard to such disclosures.
Business Transfers: Our business is constantly changing. As part of that process, Bidology may sell or buy other companies, and Personal Data may be transferred as part of these transactions. It is also possible that Bidology, or substantially all of its assets, may be acquired by another company, whether by merger, sale of assets or otherwise, and Personal Data may be transferred as part of such a transaction.
Compliance with Law and Other Disclosures: Bidology reserves the right to release Personal Data in order to comply with applicable laws, regulations and other legal requirements; when we believe that disclosure is necessary to comply with a judicial proceeding, court order or other legal process served on us; or as evidence in litigation in which we are involved.
Aggregate and De-Identified Information. We may disclose aggregate or de-identified information about users for marketing, advertising, research, or similar purposes, such as reporting on pricing trends.
Cookies and Other Tracking Technologies
Do Not Track: Our Site does not respond to Do Not Track signals and we may track your activities once you leave our Site. You may disable certain tracking as discussed in this section (e.g., by disabling cookies).
Clear GIFs, Pixel Tags and Other Technologies: Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies, which are embedded invisibly on web pages. We or our service providers may use clear GIFs (also known as web beacons, web bugs or pixel tags) in connection with our Site to track the activities of visitors to our Site, help us manage content, and compile statistics about usage of our Site. We or our service providers may also use clear GIFs in HTML emails to our users, to help us track email response rates, identify when our emails are viewed, and track whether our emails are forwarded.
You may opt out of receiving interest-based ads from many third-party ad networks, including those operated by members of the Network Advertising Initiative (“NAI”) and the Digital Advertising Alliance (“DAA”). Updating Your Personal Data
You may change, access or delete your Personal Data by accessing your profile or by contacting us at firstname.lastname@example.org. To protect your privacy and security, we may verify your identity before granting access or making changes to your Personal Data.
Updating Your Marketing Preferences
We may send periodic promotional or informational emails to you. You may opt out of such communications by updating your marketing preferences in your profile or following the opt-out instructions contained in the email. Please note that it may take up to ten (10) business days for us to process opt-out requests. If you opt out of receiving emails about recommendations or other information we think may interest you, we may still send you emails about your account or any Services you have requested or received from us.
Our Site is intended to be used by customers located in the United States. If you are located anywhere outside of the United States, please be aware that information we collect about your, including Personal Data, will be transferred to, processed and stored in the United States. The data protection and privacy laws in the United States differ from those of the country in which you are located. U.S. governmental agencies, courts, or law enforcement may be able to access or obtain your Personal Information (for example, in response to a court order).
By using a our Site, you consent to the transfer, processing, and storage of your information, including Personal Data, in the United States.
Persons under the age of 18 are not eligible to purchase, cancel or modify any services available through Bidology. If we discover that a person under 18 has provided us with Personal Data, we will promptly delete such information from our systems.
We have taken steps to help protect the information we collect about you from loss, misuse, unauthorized access, disclosure, alteration and destruction. However, no data security measures can guarantee 100% security. You should take steps to protect against unauthorized access to your account by, among other things, choosing a robust password that nobody else knows or can easily guess and keeping your log-in and password private. We are not responsible for any lost, stolen or compromised passwords or for any activity on your account via unauthorized password activity.
Special Information for California Consumers
California residents may request a list of certain third parties to which we have disclosed certain types of Personal Data for their own direct marketing purposes. You may make one request per calendar year. In your request, please attest to the fact that you are a California resident and provide a current California address for your response.
